These Terms & Conditions (“Terms”) govern your use of the websites, applications, products, and services (collectively, the “Services”) operated by Samesum LLC, a company organized under the laws of Utah, United States, and Samesum Pty. Ltd., a company organized under the laws of Hong Kong SAR (together, “Samesum,” “we,” “our,” or “us”).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

You agree to use the Services solely for lawful purposes and in compliance with all applicable laws and regulations. You must not use the Services:

To the fullest extent permitted by applicable law, in no event shall Samesum, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, or goodwill, arising from or related to your use of the Services.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the greater of (i) $100 USD or (ii) the total fees paid by you for the Services in the 6 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Samesum, its affiliates, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of another.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions that should survive termination (e.g., intellectual property, indemnity, limitations of liability) shall continue in full force.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, for matters related to Samesum LLC, and the laws of the Hong Kong SAR for matters related to Samesum Pty. Ltd., without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in those respective jurisdictions.

11. International Use

We make no representation that the Services are appropriate or available for use in all jurisdictions. You are responsible for compliance with all local laws and regulations applicable to your use of the Services.

12. Changes to These Terms

We reserve the right to modify or update these Terms at any time. If changes are material, we will provide reasonable notice (e.g., via email or prominent notice on the website). Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
