1. Agreement to Terms
By accessing or using the Service, you confirm that you are at least 18 years old and agree to be bound by these legally binding Terms and our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent you have authority to bind them. If you disagree with any part, you must cease use immediately.
2. Modifications
We may amend these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new “Last Updated” date. Your continued use after such notice constitutes acceptance. For significant changes affecting your rights, we may provide additional notice via email.
3. Services Description
Samesum provides business process automation software development services for organizations globally. We reserve the right to modify, suspend, or discontinue any service feature.
4. User Accounts and Security
You are responsible for maintaining account confidentiality and all activities under your account. You must provide accurate information and notify us immediately of any unauthorized use. We may suspend or terminate accounts suspected of breaching these Terms.
5. Acceptable Use
You agree not to use the Service to:
a) Violate any applicable Hong Kong law or regulation;
b) Infringe intellectual property rights;
c) Transmit harmful code or engage in hacking;
d) Harass, defame, or discriminate;
e) Engage in fraudulent or misleading activities;
f) Collect data from other users without consent.
6. Intellectual Property Rights
6.1. All Platform content (excluding User Content), including software, logos, and trademarks, is owned by or licensed to Samesum and protected by Hong Kong copyright and trademark laws.
6.2. We grant you a limited, revocable license for personal, non-commercial use.
6.3. For User Content you submit, you grant Samesum a worldwide license to use, modify, and display it to operate the Service.
7. Fees and Payment (Subject to Supply of Services Ordinance, Cap. 457)
7.1. Fees for paid services are displayed on the Platform. You agree to pay all charges at the stated price in HKD.
7.2. Implied Terms: Where the Supply of Services Ordinance applies, there is an implied term that we will carry out the service with reasonable care and skill. Nothing in these Terms seeks to exclude this statutory right.
7.3. Refunds: Except as required by law, all fees are non-refundable. If you are a consumer, you may have specific cancellation rights under Hong Kong law for certain services, which we will honor.
8. Consumer Rights and Limitations (Control of Exemption Clauses Ordinance, Cap. 71 & Unconscionable Contracts Ordinance, Cap. 458)
8.1. Statutory Rights: These Terms do not affect your statutory rights as a consumer under Hong Kong law.
8.2. Limitation of Liability (Business Users): If you are using the Service for business purposes:
a) We exclude all implied conditions, warranties, and representations to the fullest extent permitted by law.
b) Our total liability for any claim shall not exceed HKD 10,000 or the total fees you paid in the 12 months preceding the claim, whichever is lower.
c) We are not liable for any indirect, consequential, or special damages.
8.3. Limitation of Liability (Consumer Users): If you are using the Service as a consumer:
a) We do not exclude liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or for any matter where liability cannot be excluded under Hong Kong law.
b) We are not liable for losses that are not a foreseeable consequence of our breach (losses are foreseeable if they were contemplated by you and us at the time you started using the Service).
9. Personal Data
Our collection and use of your personal data are governed by our Privacy Policy (link) and the Personal Data (Privacy) Ordinance (Cap. 486). We act as a data controller for personal data collected directly from you. By using the Service, you consent to our lawful processing of your data as described.
10. Third-Party Links and Services
The Service may contain links to third-party websites. We are not responsible for their content, privacy practices, or any losses from your use of them. Your dealings with third-party service providers (e.g., payment gateways) are solely between you and that provider.
11. Termination
We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. All liability limitations and intellectual property clauses survive termination.
12. Governing Law and Dispute Resolution
12.1. Governing Law: These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
12.2. Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong for any dispute. This does not prevent either party from seeking injunctive relief in any jurisdiction.
12.3. Negotiation: Parties agree to attempt to resolve disputes amicably through good faith negotiation for at least 30 days before initiating formal proceedings.
13. Force Majeure
We are not liable for failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14. Severability
If any provision is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will remain in full force.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Samesum regarding the Service and supersede all prior agreements.
16. Assignment
We may assign our rights under these Terms without your consent. You may not assign your rights without our prior written consent.
17. No Waiver
Our failure to enforce any right is not a waiver of future enforcement of that or any other right.
